1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and Voxel Marketing LLC, doing business as SameSky Social ("SameSky," "we," "us," or "our") governing your access to and use of the SameSky platform, including our website, mobile applications, and related services (collectively, the "Service").

By creating an account or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not access or use the Service.

2. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

You may not use the Service if you have previously been banned or suspended from the Service, or if applicable law prohibits you from receiving or using it.

3. Account Registration

To use most features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and accept responsibility for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account at privacy@samesky.ai.
• Not create more than one account, or create an account on behalf of another person without their authorization.

We reserve the right to suspend or terminate your account if any information you provide is inaccurate, misleading, or incomplete.

4. The Service

SameSky is a platform designed to connect individuals experiencing similar life situations through anonymous, AI-facilitated matching and real-time chat. Key aspects of the Service include:

• Situation Prompts: You may submit a text prompt describing what you are currently experiencing. This prompt is processed by our AI system to identify compatible matches. Prompts are not shared with other users.
• AI Matching: Our AI system analyzes your prompt and profile attributes to suggest potential matches. We do not guarantee the quality, suitability, or outcome of any match.
• Anonymous Chat: When matched, you and another user may communicate via the in-app chat. Your display handle and avatar are visible to your match; your real name, email address, and situation prompt remain private.
• Connections: You may choose to keep or end connections at any time. We do not guarantee that connections will persist indefinitely.

5. User Conduct

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

• Post, transmit, or share content that is abusive, harassing, threatening, hateful, defamatory, obscene, or otherwise objectionable.
• Solicit, collect, or attempt to obtain personally identifiable information from other users, including real names, phone numbers, addresses, or financial information.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Service to advertise, promote, or solicit any commercial goods or services.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems or networks.
• Interfere with or disrupt the integrity or performance of the Service, including transmitting malware, spam, or other harmful code.
• Use automated means, including bots, scripts, or scrapers, to access or interact with the Service.
• Use the Service for any unlawful purpose, or in violation of any applicable laws or regulations.
• Facilitate or encourage any conduct that violates these Terms.

We reserve the right to remove any content and suspend or terminate any account that violates these rules, at our sole discretion.

6. Content You Submit

You retain ownership of any content you submit through the Service ("User Content"), including situation prompts and chat messages. By submitting User Content, you grant SameSky a non-exclusive, worldwide, royalty-free license to use, store, process, and transmit your User Content solely as necessary to provide and improve the Service.

You represent and warrant that you have all rights necessary to grant this license, and that your User Content does not violate any third-party rights or applicable law.

We do not endorse, verify, or assume liability for any User Content submitted by users. You are solely responsible for all content you submit.

7. Moderation and Enforcement

We may, but are not obligated to, monitor User Content for compliance with these Terms. We reserve the right, in our sole discretion, to:

• Remove or refuse any User Content that violates these Terms or that we find objectionable.
• Suspend or terminate access to the Service for any user who violates these Terms.
• Report illegal activity to law enforcement authorities.

If you encounter content or behavior that violates these Terms, please report it through the in-app reporting tools or by contacting us at privacy@samesky.ai.

8. Intellectual Property

The Service, including its design, software, text, graphics, logos, and other content created by SameSky, is owned by Voxel Marketing LLC (DBA SameSky Social) and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract any source code, unless permitted by applicable law or with our written permission.

9. Third-Party Services

The Service uses third-party providers to operate, including for authentication and AI processing. Your use of the Service may be subject to the terms and privacy policies of these providers. We are not responsible for the practices of any third-party services.

The Service may contain links to third-party websites. We do not endorse or assume responsibility for any third-party sites, and accessing them is at your own risk.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SAMESKY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content on the Service, including AI-generated match assessments.

SameSky is not a mental health service, crisis intervention service, or substitute for professional medical or psychological advice. If you are experiencing a mental health emergency, please contact a qualified professional or emergency services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAMESKY AI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Voxel Marketing LLC (DBA SameSky Social) and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

You may stop using the Service at any time and delete your account through the Service settings. Deletion of your account will be processed in accordance with our Privacy Policy.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in San Francisco, California.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights. You and SameSky agree that any dispute resolution will be conducted on an individual basis, and not as a class or representative action.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, by providing additional notice such as an in-app notification or email. Your continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree to the updated Terms, you must stop using the Service.

16. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SameSky with respect to the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. You may not assign these Terms or any rights hereunder without our prior written consent.
